1. Acceptance of Terms
By accessing or using BitInfinity Solutions' website and services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients of our platform.
2. Services
BitInfinity Solutions provides software development, design, consulting, and related technology services. The specific scope, timeline, and pricing of each engagement is defined in individual project agreements or statements of work (SOWs) between BitInfinity Solutions and the client.
3. Intellectual Property
Upon full payment of all fees, clients receive full ownership of all custom code and deliverables created specifically for them under a project agreement. BitInfinity Solutions retains ownership of any pre-existing intellectual property, tools, frameworks, and methodologies used in delivering services.
4. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. We are happy to sign mutual NDAs at the start of any project. This obligation survives the termination of our engagement.
5. Payment Terms
Payment terms are defined in individual project agreements. Typically, projects require a deposit before work begins, with milestone-based payments throughout. Overdue invoices may incur late fees as specified in the project agreement.
6. Limitation of Liability
BitInfinity Solutions' liability is limited to the total fees paid by the client in the six months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages. This limitation applies to the maximum extent permitted by law.
7. Warranties
We warrant that our services will be performed in a professional manner consistent with industry standards. We warrant that delivered software will function as specified for 90 days after delivery. We do not warrant that software will be free from all bugs or that it will meet all future requirements.
8. Termination
Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination, the client pays for all work completed to date. Work product completed and paid for transfers to the client; incomplete work remains with BitInfinity Solutions.
9. Governing Law
These Terms are governed by the laws of India. Any disputes will be resolved through binding arbitration in Kota, Rajasthan, except that either party may seek injunctive relief in any court of competent jurisdiction.
